These Terms and Conditions ("Terms") govern your use of the website at souravchhimpa.com and any Web3 development, SaaS development, smart contract development, token ecosystem creation, AI product development, or consulting services provided by Sourav Chhimpa. Please read these Terms carefully before using our website or engaging our services.
Agreement to Terms
By accessing and using the website at https://www.souravchhimpa.com ("the Site"), you agree to be bound by these Terms and Conditions. These Terms apply to all visitors, users, and clients who access or use the Site. If you disagree with any part of these Terms, you must discontinue use of the Site immediately.
These Terms constitute a legally binding agreement between you ("you," "your," or "Client") and Sourav Chhimpa ("I," "me," "my," or "Developer"). For project engagements, these Terms work in conjunction with any separate project agreement or statement of work (SOW) that may be executed between the parties.
Description of Services
Sourav Chhimpa provides freelance software development and consulting services, including but not limited to:
- Web3 MVP Development: Full-stack decentralized application development, including smart contracts, frontend interfaces, wallet integrations, and blockchain interactions across EVM-compatible chains and TON
- Token Ecosystem Development: ERC-20, BEP-20, and TON Jetton token creation, tokenomics design, staking mechanisms, vesting schedules, reward distribution systems, and exchange-listing preparation
- SaaS Platform Engineering: Production-grade SaaS application development with authentication, role-based access control, admin dashboards, analytics, billing integration, and scalable cloud architecture
- Smart Contract Development: Gas-optimized, auditable smart contracts for tokens, NFTs, DAOs, vesting, staking pools, yield farming, and custom DeFi protocols
- AI-Powered Products: AI agent development, chatbot implementation, content generation tools, and intelligent automation systems
- Landing Pages and Marketing Sites: High-conversion, SEO-optimized landing pages and marketing websites with premium design and performance optimization
- Technical Consulting: Architecture reviews, technical feasibility assessments, technology stack recommendations, and development roadmap planning
The specific deliverables, scope, timeline, and pricing for each engagement are discussed during discovery calls and formalized in separate project agreements before work commences.
Booking and Discovery Calls
The following terms apply to discovery calls booked through our website:
- Discovery calls are complimentary and last approximately 30 minutes. They are designed to assess project feasibility, discuss technical requirements, and determine mutual fit
- Booking a discovery call does not constitute a contractual obligation for either party to proceed with a project engagement
- Meeting links (Google Meet) will be sent to the email address provided during booking. It is your responsibility to ensure the email address is correct
- I reserve the right to reschedule or cancel calls with reasonable prior notice. You will be notified via email of any changes
- If you need to reschedule, please contact me at least 24 hours before the scheduled time
- Information shared during discovery calls is treated as confidential and will not be disclosed to third parties
Project Engagements and Scope
All project engagements are governed by a separate project agreement or statement of work (SOW) that will include the following elements:
- Scope of work: Detailed description of features, deliverables, and acceptance criteria
- Timeline: Project milestones, delivery dates, and review periods
- Pricing: Fixed project price or hourly rate, broken down by milestone
- Payment schedule: Deposit requirements, milestone payments, and final payment terms
- Revision policy: Number of included revision rounds and process for additional revisions
- Communication plan: Preferred channels (Slack, Telegram, email), update frequency, and response time expectations
- Intellectual property: Transfer timeline and conditions
- Confidentiality: Non-disclosure obligations and data handling
Work will not commence until the project agreement is signed and the initial deposit is received. Any changes to the agreed scope after project commencement may result in timeline adjustments and additional costs, which will be communicated and agreed upon in writing before implementation.
Pricing and Payment Terms
Unless otherwise specified in a project agreement, the following payment terms apply:
- Deposit: A deposit of 30–50% of the total project cost is required before work begins. The exact percentage depends on project size and complexity
- Milestone payments: For larger projects, payments are structured around deliverable milestones (e.g., design approval, development complete, testing complete)
- Final payment: The remaining balance is due upon project delivery and your approval of final deliverables
- Payment methods: Accepted payment methods include bank transfer, cryptocurrency (USDT, USDC, ETH, BNB), and other methods as agreed
- Currency: Pricing is typically quoted in USD. Payment in other currencies is accepted at the prevailing exchange rate at the time of payment
- Late payments: Invoices are due within 7 days of issuance. Late payments beyond 14 days may result in project work being paused until payment is received
- Refund policy: Deposits and milestone payments are non-refundable once work on that phase has commenced. If I am unable to deliver the agreed-upon work, a proportional refund will be provided
Intellectual Property Rights
Website Content
All content on souravchhimpa.com including text, graphics, logos, images, user interface components, code snippets, design elements, and the overall website design is the intellectual property of Sourav Chhimpa and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without prior written permission.
Client Project Deliverables
Upon full and final payment for a project, all source code, design assets, documentation, and intellectual property related to the project deliverables are transferred to the client. This includes:
- All application source code and configuration files
- Smart contract source code and deployment scripts
- Design assets, icons, and custom graphics created for the project
- Database schemas and migration files
- Deployment documentation and setup guides
I retain the right to showcase the project in my portfolio, case studies, and marketing materials unless otherwise agreed in writing. I also retain the right to reuse general techniques, methodologies, and non-proprietary code patterns developed during the project.
Third-Party Components
Projects may include open-source libraries, frameworks, and third-party components that are subject to their respective licenses (MIT, Apache, etc.). You are responsible for complying with the terms of these licenses. I will provide a list of third-party dependencies used in your project upon request.
Confidentiality
Both parties agree to keep confidential all proprietary information, trade secrets, technical data, business strategies, and other sensitive information disclosed during the engagement. This obligation survives the termination of the project relationship. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.
Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide timely feedback, approvals, and decisions within agreed-upon review periods
- Supply all necessary content, assets, API credentials, and access required for the project
- Designate a single point of contact for project communications
- Review and test deliverables within the specified review periods
- Make payments according to the agreed schedule
Delays caused by late client feedback, missing content, or delayed payments may result in corresponding timeline adjustments.
Revisions and Change Requests
Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions or changes beyond the agreed scope are considered change requests and may incur additional costs. All change requests must be submitted in writing and approved before implementation.
Limitation of Liability
To the maximum extent permitted by applicable law, Sourav Chhimpa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses resulting from your use of the website or services. Total liability for any claim shall not exceed the total amount paid by you for the specific project giving rise to the claim.
Warranty Disclaimer
The website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. For project deliverables, I provide a 30-day warranty period after final delivery during which I will fix any bugs or defects in the delivered work at no additional cost. This warranty does not cover issues arising from modifications made by you or third parties after delivery.
Indemnification
You agree to indemnify and hold harmless Sourav Chhimpa from any claims, damages, losses, liabilities, and expenses arising from your use of the website, violation of these Terms, or infringement of any third-party rights in connection with content or materials you provide for the project.
Termination
Either party may terminate a project engagement with 14 days written notice. In the event of termination, you will be invoiced for all work completed up to the termination date. Completed deliverables will be transferred upon full payment. The deposit is non-refundable in the event of client-initiated termination.
External Links and Third-Party Services
The website may contain links to third-party websites or services that are not owned or controlled by me. I have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge that I shall not be liable for any damage or loss arising from your use of external websites or services.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or any project engagement will be resolved as follows:
- Negotiation: Both parties will first attempt to resolve the dispute through good-faith negotiation within 30 days
- Mediation: If negotiation fails, the parties will attempt mediation through a mutually agreed mediator
- Jurisdiction: If mediation fails, any legal proceedings will be brought in the appropriate courts in Jaipur, Rajasthan, India
Changes to These Terms
I reserve the right to modify these Terms at any time. When material changes are made, I will update the "Last updated" date and, where required, provide notice via email or a prominent website notification. Your continued use of the website after changes constitutes acceptance of the updated Terms.
